I'm a principal in a venture capital fund that specializes in obtaining financing and investment for start-up, fast growing or troubled companies in the Spokane area. This involves a great deal of due diligence, analysis, negotiation, structuring and planning in close cooperation with management teams and funding sources.
Brainstorming sessions develop the logistics for expanding an existing business. This preliminary work gets refined during subsequent sessions until an action plan is finalized.
Using the plan, financing and staffing needs are identified and planned for.
IPOs
"Taking companies public," requires specialized skills and the ability to work with management, legal teams, auditors. brokers and dealers. I have assisted companies either register an IPO, raise Private Placement money or issue public debt. The largest was a start-up automotive design company in Santa Barbara. $3 mil was raised through the sale of stock and warrants. Another client registered and sold $5 mil of debentures. I assisted a mining exploration company with a $2.25 mil private placement. I've also worked on many other offerings in the $150,000 to $500,000 range.
Often, I coordinate between management, SEC attorneys and auditors. Drafting information internally helps management remain in control. Legal and audit fees are also reduced when the required information is provided to the attorneys and auditors in a readily useable format.
